These Terms and Conditions ("Terms") are an agreement between you and PT Inovatera Nusantara Anugrah ("SmartKris", "we", "us") regarding the use of smartkris.com and the SmartKris dashboard, smart devices, and related services (the "Service").
By registering for, accessing, or using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
1. Definitions
- "Merchant" means a laundry business that registers for and uses the Service.
- "User" means the Merchant and any staff member given access by the Merchant.
- "End Customer" means a consumer who uses a Merchant's laundry machines.
- "Device" means the IoT smart device installed on a machine for monitoring and remote control.
- "Payment Partner" means a third-party bank or QRIS and payment provider connected to the Service.
2. Eligibility and Registration
- You must be at least 18 years old and legally competent, or represent a valid business entity authorized to be bound by these Terms.
- You must provide accurate, complete, and current information, and update it when it changes.
- We or a Payment Partner may ask you to verify your identity or business before enabling certain features, including QRIS payments and fund withdrawals. We may refuse or delay registration if verification is not completed.
3. Scope of the Service
SmartKris provides a web-based (PWA) dashboard platform for managing a laundry business, including real-time machine status monitoring, remote power control, recording of QRIS and manual payments, multi-merchant and multi-outlet management, role-based access, financial reports, a withdrawal workflow, and remote firmware updates (OTA).
The Service is offered under several models, such as the QRIS Self-Service plan (no monthly fee, per-transaction fee) and the Manual Monitoring + CS plan (subscription). The applicable plan details are those shown on our website or agreed with us in writing.
We may add, change, or discontinue features from time to time. We will give reasonable notice of changes with a significant impact.
4. Account Security and Access Rights
- You are responsible for keeping your account credentials confidential and for all activity through your account, including activity by staff you register.
- The Merchant is responsible for setting staff roles and access rights appropriately, and for revoking access of staff who are no longer authorized.
- Contact us immediately if you know or suspect unauthorized access to your account.
- You allow our support team to use the impersonation feature (signing in as a User) solely to help troubleshoot problems. Use of this feature is recorded in an audit trail.
5. Fees, Payment, and Billing
- Applicable prices and fee structures are shown on smartkris.com or agreed with us in writing. Prices may change, but changes do not apply retroactively to periods you have already paid for.
- Subscription fees are paid in advance for the period you choose. A one-time Device installation fee is charged at the start.
- QRIS per-transaction fees and Payment Partner fees follow the terms communicated at registration and may be deducted from transaction funds.
- Prices exclude taxes, including VAT where applicable, unless stated otherwise.
- Fees already paid are non-refundable, unless otherwise agreed in writing or required by law.
- If payment is delayed, we may suspend access to the Service until the amount is settled.
6. QRIS Transactions, Balances, and Withdrawals
- Payment transactions are processed by Payment Partners and are subject to their terms. Unless expressly stated otherwise, SmartKris acts as a technology platform provider that records and displays transactions.
- Balances shown in the dashboard result from recording and reconciling transactions, and may be adjusted if differences, cancellations, or errors are found.
- Withdrawals follow a request, review, and approval workflow by our finance team or admins. We may delay a withdrawal, ask for additional information, or reject it if there are signs of fraud, incomplete data, a dispute, or a legal obligation.
- The time it takes for funds to arrive depends on bank and Payment Partner processing. You are responsible for making sure the destination account details are correct. Losses caused by entering the wrong account are outside our responsibility.
- Disputes, refunds, and complaints from End Customers are the Merchant's responsibility, with reasonable assistance from us where needed.
7. IoT Devices and Installation
- The Merchant provides site access, a power source, and an adequate internet connection so the Device can work.
- Ownership of the Device and any obligation to return it follow the applicable plan terms or a written agreement.
- You must not disassemble, modify, relocate without notice, or reverse engineer the Device or its firmware.
- You allow us to update Device firmware remotely (OTA) for fixes, security, and feature improvements.
- The Merchant is fully responsible for the safety of its laundry machines and premises, including making sure a machine is safe when switched on or off remotely. We are not liable for machine damage, accidents, or losses arising from machine condition, electrical installation, or use outside specifications.
8. Availability and Service Levels
We work to keep the Service available and reliable. Any binding service level commitment (SLA) is set out in a separate document or written agreement. Without such a document, the Service is provided on a best-effort basis.
The Service may be disrupted by scheduled maintenance or by matters beyond our control, such as power outages, internet network problems, or Payment Partner system issues. We will try to give advance notice of scheduled maintenance.
9. Prohibited Use
You must not use the Service to:
- break the law, including fraud, money laundering, or financing prohibited activities;
- access accounts, systems, or data without authorization, or test for vulnerabilities without our written consent;
- disrupt or overload the systems, including spreading malware or automated scraping;
- reverse engineer, copy, or resell the Service without written permission; or
- enter other people's personal data without a valid legal basis.
Violations may result in suspension or termination of access, and reporting to the authorities where necessary.
10. Data and Privacy
Data you enter into the Service remains yours. You grant us the right to process that data to the extent needed to provide and improve the Service. Processing of personal data is further governed by our Privacy Policy.
As the Personal Data Controller of staff and End Customer data you enter, you are responsible for making sure that processing has a valid legal basis.
11. Intellectual Property
All rights in the Service, including software, design, trademarks, logos, and SmartKris content, belong to us or our licensors. While these Terms are in effect, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business. No other rights are transferred to you.
We may use feedback or suggestions you provide to improve the Service without any obligation to you.
12. Suspension and Termination
- You may stop using the Service at any time by notifying us. Fees for the current period that you have already paid are not refunded, unless otherwise provided.
- We may suspend or end your access if you breach these Terms, fall behind on payment, create a security or legal risk, or if required by law or a competent authority.
- After termination, your access ends. Any balance owed to you will be disbursed under the standard procedure once all obligations are settled. You are encouraged to export your reports and data before your account is closed.
- Your data will be deleted or anonymized in line with the Privacy Policy, except data we are legally required to retain.
- Provisions that by nature survive termination, such as intellectual property, limitation of liability, and dispute resolution, remain in effect.
13. Warranties and Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available". We do not guarantee that the Service will be free of interruptions or errors, or that it will meet all of your particular needs. Information in the dashboard, including reports and balances, is provided as a business management aid and is not legal, tax, or accounting advice.
14. Limitation of Liability
To the extent permitted by law, SmartKris is not liable for indirect, incidental, or consequential losses, including loss of profit, revenue, or business opportunity. Our total liability to you for all claims arising from the Service is limited to the fees you have paid us in the 12 (twelve) months before the claim was made.
This limitation does not apply to liability that cannot be limited by law, including liability arising from our intentional misconduct or gross negligence.
15. Indemnification
You agree to release and indemnify SmartKris, its officers, and its employees from third-party claims, including those of End Customers, together with reasonable legal costs, arising from your breach of these Terms, your unlawful use of the Service, or the condition and operation of your machines and business.
16. Force Majeure
We are not liable for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, fire, pandemics, power or telecommunications outages, Payment Partner system failures, large-scale cyberattacks, or government policy.
17. Changes to These Terms
We may change these Terms from time to time. The date of the latest update is shown at the top of the page. For material changes, we will notify you through the website, the dashboard, or email within a reasonable time before they take effect. If you do not agree, you may stop using the Service. Continued use after a change takes effect means you accept the updated Terms.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed under the laws of the Republic of Indonesia. Any dispute will first be resolved through deliberation to reach consensus. If no agreement is reached within 30 (thirty) days after the dispute is notified in writing, the parties agree to resolve it before the Yogyakarta District Court.
19. General Provisions
- These Terms, together with the Privacy Policy and any other written agreement between the parties, form the entire agreement regarding the Service.
- If any provision is held invalid or unenforceable, the remaining provisions stay in effect.
- Our failure to enforce a right is not a waiver of that right.
- You may not assign your rights or obligations without our written consent. We may assign our rights and obligations to another party in connection with a reorganization or transfer of the business.
- These Terms are made in Indonesian and English. If there is any difference, the Indonesian version prevails.
